Governance of the Brentwood Horticultural Society CIO

The Brentwood Horticultural Society is a Charitable Incorporated Organisation (CIO), registered with the Charity Commission. This structure ensures that the society is run responsibly, transparently, and in the best interests of our members and the wider community.

Why we became a CIO

For most of its long history, the Society operated as an unincorporated association — a private body with no external regulation. While this kept bureaucracy to a minimum, it also meant:

  • the Society could not hold property (including leases for our allotment sites)
  • members carried personal liability for any legal claims

To protect members and secure long‑term stability, the Society transferred its assets to a new CIO on 16 April 2025. As a CIO, we can now hold leases, manage sites securely, and operate without exposing members to personal legal risk.

Our responsibilities as a charity

Becoming a CIO means we must follow charity law and the governance processes set by the Charity Commission. These include:

  • maintaining a formal constitution
  • submitting annual accounts and a trustees’ report
  • ensuring decisions are made in line with our charitable objects
  • managing risks and finances responsibly

Although this may appear hierarchical, it is important to remember that everyone involved is a volunteer, working for the benefit of the Society and the community.

How the Society is governed

The Society’s governance involves three groups working together:

  • Members – who elect the trustees
  • Trustees – who hold legal responsibility for the charity
  • Executive Committee – volunteers who manage day‑to‑day site operations

Trustees retain ultimate responsibility under charity law, but they rely on the expertise and involvement of plot‑holders and site representatives to keep the Society running smoothly.
